Terms of Use

These Terms of Use govern access to and use of PairRail Atlas (the “Service”), including the seller console, public protocol endpoints, APIs, onboarding and extraction tools, and related documentation on pairrail.com.

By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. What Atlas is

Atlas is seller-side infrastructure for publishing commercial truth (catalogs, pricing, packaging, and policy) and exposing governed, agent-readable offers across protocols such as UCP, MCP, A2A, ACP, and UAP. Protocol responses and quotes produced by the Service are indicative unless your organization separately executes a binding commercial agreement. Atlas does not grant buying agents authority to bind your organization without your human approval and fail-closed governance settings. Machine customers may discover public surfaces; taking action against your catalog requires seller-approved access credentials that you control.

2. Accounts and roles

  • Seller users authenticate via Firebase Authentication (Google or GitHub) and manage workspaces, catalogs, pricing, publications, and related console actions.
  • Operators are PairRail personnel with elevated access for platform administration. Operator activity is handled separately from seller product telemetry.
  • You are responsible for safeguarding credentials, OAuth sessions, API keys, and admin keys issued to you, and for activity under your account.

3. Your content and commercial data

You retain ownership of catalogs, pricebooks, evidence, policy text, and other materials you submit (“Customer Content”). You grant PairRail a limited license to host, process, transform, and serve Customer Content as needed to operate the Service — including protocol projections, extraction previews, readiness reports, and backups.

You represent that you have the rights to publish Customer Content and that it does not infringe others’ rights or violate law. You are solely responsible for the accuracy of published pricing and policy.

4. Acceptable use

You must comply with our Acceptable Use Policy. We may suspend or terminate access for abuse, security risk, or material breach.

5. APIs, protocols, and agents

Public and authenticated endpoints (including OpenAPI, UCP/MCP/A2A/ACP/UAP surfaces, and extraction endpoints) are provided for legitimate commercial discovery and integration. Rate limits, authentication requirements, and plan entitlements may apply. Scraping, credential stuffing, impersonation of agents or sellers, or attempts to bypass governance controls are prohibited.

6. Plans, billing, and trials

Paid plans and checkouts may be processed by our payment partner (currently Dodo Payments or a successor). Fees, renewals, and cancellations are described at purchase time and in your billing provider portal. Free or developer tiers may change or be withdrawn with reasonable notice.

7. Intellectual property

The Service, branding, software, documentation, and non-Customer Content are owned by PairRail or its licensors. These Terms do not transfer ownership of PairRail IP to you.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIRRAIL DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted availability, error-free protocol interoperability with third-party agents, or that indicative quotes will match any eventual negotiated contract.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIRRAIL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO PAIRRAIL FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnity

You will defend and indemnify PairRail against claims arising from your Customer Content, your misuse of the Service, or your violation of these Terms or applicable law.

11. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk to the platform or other users, non-payment, or legal requirement. Provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) survive termination.

12. Changes

We may update these Terms by posting a revised version with an updated “Last updated” date. Continued use after the effective date constitutes acceptance of material changes we notify through the Service or by email when practicable.
